Welcome to Gate Rides!
Gate Rides LLC ("Gate Rides," "we," "us," or "our") is a scheduling software platform that connects verified users to arrange carpool Rides. Gate Rides connects users looking for a Ride ("Riders") with users headed in the same direction ("Drivers"), both willing to share a Ride. Gate Rides is provided by Gate Rides LLC, with offices at 13 Oak Drive, Box CU 585, Hamilton, NY 13346.
As used in these Terms, "Users" means any person who accesses or uses Gate Rides, including both Drivers and Riders. "Services" means the Gate Rides platform, including our website, mobile applications, and all related features and functionality.
GATE RIDES LLC IS NOT AFFILIATED WITH, ENDORSED BY, OR SPONSORED BY COLGATE UNIVERSITY. The requirement of a colgate.edu email address is solely for verification purposes to limit the platform to members of the Colgate University community.
By using Gate Rides, you are agreeing to these Terms of Service (the "Terms") and our Privacy Policy.
GATE RIDES IS A SOFTWARE PLATFORM THAT CONNECTS DRIVERS AND RIDERS WHO ARE WILLING TO SHARE A RIDE. CARPOOL RIDES ARRANGED THROUGH GATE RIDES ARE STRICTLY NOT-FOR-PROFIT TRANSPORTATION ARRANGEMENTS. RIDERS MAY BE REQUIRED TO CONTRIBUTE TOWARD THE DRIVER'S COSTS (SUCH AS GAS, TOLLS, ETC.).
ALL CARPOOL ARRANGEMENTS MADE THROUGH GATE RIDES ARE BETWEEN RIDERS AND DRIVERS. GATE RIDES IS NOT A PARTY TO ANY CARPOOLING AGREEMENTS. GATE RIDES DOES NOT REPRESENT OR ENDORSE AND WILL NOT BE RESPONSIBLE FOR:

By creating an account, you agree to follow these Terms, including the Pricing Guidelines incorporated herein. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Gate Rides does not endorse or tolerate the commercial use of its platform. No User may generate a profit from engaging with the Gate Rides platform. Gate Rides will terminate the account of any User who violates these Terms.
You understand that it is your responsibility to verify that you are not engaging with the Gate Rides platform in a commercial capacity. Any commercial use of the Gate Rides platform is prohibited, and commercial usage includes, but is not limited to, any use of the platform that generates profit for any User on the Gate Rides platform.
You understand that New York State (NYS) Vehicle and Traffic Law (VTL) regulates the personal and commercial use of a vehicle, and you understand that NYS regulates the insurance requirements for the personal and commercial use of a vehicle (NYS Chapter 71, Title 3). You agree that you have verified that your auto insurance policy permits the use of your vehicle in carpool arrangements. It is your responsibility to verify that your pricing methodology does not violate New York State Vehicle and Traffic Law or your auto insurance policy.
When you create an account, you understand that use of the Gate Rides platform can create tax implications, and you assume full responsibility to resolve such tax implications and disputes.
You may only use Gate Rides to arrange a joint use of a car by a Driver and a Rider (a "Ride"). You may not use Gate Rides to provide or procure any other services (such as package deliveries) nor to engage in commercial services or with the purpose of obtaining profits.
You may use Gate Rides only as permitted by law, including applicable export and re-export control laws and regulations. You agree not to:
We may suspend or stop providing Gate Rides to you if you do not comply with our Terms or if we are investigating suspected misconduct.
Gate Rides is available on mobile and web platforms. Do not use Gate Rides in a way that distracts you or prevents you from obeying traffic or safety laws.
Please be considerate when using Gate Rides. When you schedule a Ride with another Gate Rides user, you are committing to meet that user at a specified location at a certain time and agreeing to share a Ride with that user. Be sure you want to share the Ride before requesting or accepting it, and make best efforts to be at the meeting point on time.
You may cancel a Ride at any time without penalty. However, repeated cancellations or no-shows may affect your ability to use the platform and may result in account suspension or termination.
If you are a Driver and want to provide Rides through Gate Rides, you must:
You agree not to misrepresent in any way any aspect of your identity, background, credentials, or professional standing when using Gate Rides. You agree to comply with all applicable laws and regulations in the jurisdictions in which you provide or offer to provide Rides.
Gate Rides has no obligation to verify information provided by Drivers and makes no representations regarding the accuracy of any verification. It is your responsibility to verify the identity, qualifications, and status of a Driver before accepting a Ride.
Gate Rides processes payments between Riders and Drivers through Stripe, Inc. ("Stripe"), our third-party payment processor. By using Gate Rides, you agree to Stripe's terms of service and privacy policy. Riders may be required to pay the Driver a contribution toward the Driver's costs (gas, tolls, vehicle depreciation, etc.) in connection with such Ride. In addition, Gate Rides charges a service fee of $5.00 per Ride (the "Service Fee"), payable by the Rider. The Service Fee is non-refundable and is charged for the use of the Gate Rides platform.
Drivers may decide not to request reimbursement for a Ride. In such cases, all terms and conditions applicable to paid Rides still apply; however, the Gate Rides Service Fee of $5.00 per Ride remains payable by the Rider.
You must comply with any and all applicable tax laws, including the reporting and payment of any taxes arising in connection with your use of Gate Rides or payments made through Gate Rides. The reporting and payment of any such applicable taxes are your responsibility.
In connection with your use of Gate Rides, we may send you notifications, service announcements, administrative messages, and promotional information via email, push notifications, in-app messaging, and other channels. You may opt out of promotional communications at any time, but you may not opt out of important communications relating to your account or confirmations of Rides.
Using Gate Rides does not give you ownership of any intellectual property rights in Gate Rides or the content you access. You may not use content from Gate Rides unless you obtain permission from its owner or are otherwise permitted by law. These Terms do not grant you the right to use any branding or logos used in Gate Rides. Do not remove, obscure, or alter any legal notices displayed in or along with Gate Rides.
Gate Rides may allow you to upload, submit, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content. When you upload, submit, store, send, or receive content to or through Gate Rides, you grant Gate Rides a worldwide, royalty-free license to use, host, store, reproduce, modify, and distribute such content for the limited purpose of operating and improving Gate Rides.
GATE RIDES IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. GATE RIDES DOES NOT MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICE. TO THE EXTENT PERMITTED BY LAW, GATE RIDES EXCLUDES ALL WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
GATE RIDES LLC AND ITS AFFILIATES, AGENTS, AND OFFICERS DO NOT HOLD RESPONSIBILITY FOR, INCLUDING BUT NOT LIMITED TO, TAX DISPUTES, INSURANCE DISPUTES, OR PROPERTY AND FINANCIAL DAMAGES THAT YOU MAY INCUR AS A RESULT OF THE USE OF THE PLATFORM.
TO THE EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF GATE RIDES FOR ANY CLAIMS UNDER THESE TERMS, INCLUDING FOR ANY IMPLIED WARRANTIES, IS LIMITED TO $100 USD. IN ALL CASES, GATE RIDES WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE THAT IS NOT REASONABLY FORESEEABLE.
You agree to indemnify, defend, and hold harmless Gate Rides LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of Gate Rides; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property right or privacy right; or (d) any claim that your use of Gate Rides caused damage to a third party.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
You and Gate Rides agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of Gate Rides (collectively, "Disputes") will be resolved by binding individual arbitration, rather than in court, except that either party may seek injunctive or other equitable relief in court for infringement or misuse of intellectual property rights.
The arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules (the "AAA Rules") then in effect, except as modified by these Terms. The AAA Rules are available at www.adr.org. The arbitration will be conducted in the English language by a single arbitrator. The arbitration will take place in Madison County, New York, or at another mutually agreed location.
YOU AND GATE RIDES AGREE THAT EACH PARTY MAY BRING DISPUTES AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Gate Rides agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.
You may opt out of this arbitration agreement by sending written notice to porter.comstock@gmail.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you do not wish to resolve disputes through arbitration.
The laws of the State of New York, excluding its conflict of laws rules, will apply to any disputes arising out of or relating to these Terms or Gate Rides. For any matters not subject to arbitration, you and Gate Rides consent to the exclusive jurisdiction of the state and federal courts located in Madison County, New York.
We may modify these Terms to reflect changes to the law or changes to our services. We will post notice of modifications to these Terms on our platform. Changes will not apply retroactively and will become effective no sooner than fourteen (14) days after they are posted. However, changes addressing new functions for the service or changes made for legal reasons will be effective immediately. If you do not agree to the modified Terms, you should discontinue your use of Gate Rides.
These Terms control the relationship between Gate Rides and you. They do not create any third-party beneficiary rights. Neither these Terms nor your use of Gate Rides will be construed as creating any relationship, partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Gate Rides.
If you do not comply with these Terms, and we do not take action right away, this does not mean that we are giving up any rights that we may have (such as taking action in the future). If it turns out that a particular term is not enforceable, this will not affect any other terms.
Gate Rides may terminate or suspend your account and access to Gate Rides at any time, with or without cause, and with or without notice. Upon termination, your right to use Gate Rides will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including intellectual property provisions, warranty disclaimers, indemnity, and limitations of liability.
